  • Backup functionality.

  • Premium functionality.

  • Support.

  • Update services.

  • Storage.

  • Connected services.

  • Other resources.

The limits displayed during purchase or activation form part of the applicable product terms.

10. Free Plans

A free version may have functionality, website, repository, backup, usage, or service limitations.

GMS Creativo may improve or modify free-plan functionality over time.

The existence of a free plan does not create a right to access paid functionality without an appropriate paid license.

11. Information Before Purchase

Before completing a purchase, customers should review:

  • The selected product.

  • Plan.

  • Main features.

  • Website limits.

  • Price.

  • Billing frequency.

  • Subscription duration.

  • Renewal conditions.

  • Payment method.

  • Relevant technical requirements.

Customers are responsible for selecting a plan suitable for their intended use.

12. Pricing

The applicable price is the price shown during checkout, subject to any valid promotion, discount, or correction required under applicable law.

GMS Creativo may change prices for future purchases and renewals.

A price change does not retroactively modify a completed and fully paid billing period.

13. Taxes

Taxes may be calculated based on factors such as:

  • Customer location.

  • Billing information.

  • Customer type.

  • Applicable tax rules.

Customers are responsible for providing accurate billing information.

14. Promotions, Discounts, and Coupons

GMS Creativo may offer:

  • Coupon codes.

  • Introductory pricing.

  • Limited-time discounts.

  • Limited-quantity promotions.

  • Special campaigns.

Promotions may be subject to:

  • Expiration dates.

  • Maximum redemptions.

  • Eligible plans.

  • New-customer restrictions.

  • Exclusion from renewals.

  • Other clearly communicated conditions.

Unless otherwise stated, promotions are not cumulative.

A previous promotion does not create a permanent right to the same price or discount.

15. Payments

Payments must be completed through the payment methods made available during checkout.

Access to paid functionality may depend on successful payment confirmation.

If a payment is:

  • Declined.

  • Reversed.

  • Disputed.

  • Charged back.

  • Identified as unauthorized.

  • Reasonably suspected to be fraudulent.

GMS Creativo may temporarily suspend the associated paid license or service while the matter is investigated.

16. Digital Delivery

Stellar is delivered digitally.

Delivery may occur through:

  • Customer-account access.

  • Download links.

  • Email.

  • License generation.

  • Electronic activation.

  • Other digital delivery methods.

Customers are responsible for providing a valid email address and maintaining reasonable access to their account.

SUBSCRIPTIONS AND RENEWALS

17. Subscription Period

Paid licenses may be offered on a recurring subscription basis.

The applicable subscription period will be displayed before purchase.

18. Automatic Renewal

Where automatic renewal is offered and enabled, the subscription may renew at the end of the current billing period unless cancelled before the renewal is processed.

Relevant renewal terms and billing frequency should be disclosed during checkout.

19. Renewal Pricing

Renewal pricing may differ from an introductory or promotional purchase price.

Where legally required, material changes to renewal pricing will be communicated before they take effect.

20. Cancellation

Customers may cancel future automatic renewal using available account-management tools or by contacting support where appropriate.

Cancellation of automatic renewal generally prevents the next billing event.

It does not automatically terminate an already-paid license period.

21. Effects of Expiration

When a paid license expires, services associated with an active paid license may become unavailable.

Depending on the plan, this may include:

  • Premium updates.

  • Premium functionality.

  • Connected services.

  • Technical support.

  • New downloads.

  • License-dependent features.

Expiration of a license does not give GMS Creativo permission to arbitrarily delete the customer’s website content.

REFUNDS, CANCELLATIONS, AND CONSUMER RIGHTS

22. Applicable Mandatory Rights

Nothing in these Terms is intended to exclude or restrict rights that cannot legally be excluded or restricted.

Where a customer is entitled to mandatory consumer or contractual protections, those rights remain applicable.

23. Digital Content

Stellar is digital software supplied electronically.

Where applicable law provides cancellation, withdrawal, or similar rights for digital content, those rights will apply subject to any lawful exceptions.

Where permitted, customers may be asked to expressly request or consent to immediate delivery or activation and acknowledge any legal consequence associated with beginning digital performance before the end of an applicable cancellation period.

24. Refunds

Refunds required by applicable law will be honored.

Outside mandatory legal requirements, GMS Creativo may offer discretionary commercial refund policies.

A discretionary refund granted in one situation does not create an obligation to provide the same remedy in every future case.

25. Circumstances That Do Not Automatically Establish Product Defect

Subject to mandatory rights, the following do not automatically mean that Stellar is defective:

  • Customer hosting does not meet published requirements.

  • A third-party plugin is defective.

  • A third-party theme is defective.

  • A server is misconfigured.

  • A server lacks required resources.

  • WordPress or PHP is obsolete.

  • A third-party API changes.

  • Customer credentials are compromised.

  • The software is modified without authorization.

  • A customer ignores technical warnings or requirements.

Claims will be assessed according to their actual cause and applicable legal obligations.

SOFTWARE UPDATES

26. Updates

Eligible licenses may receive software updates during the relevant entitlement period.

Updates may include:

  • Bug fixes.

  • Security improvements.

  • Compatibility changes.

  • Performance improvements.

  • Interface changes.

  • New functionality.

  • Technical restructuring.

27. Product Evolution

Stellar is an evolving software product.

GMS Creativo may reasonably:

  • Improve functionality.

  • Redesign interfaces.

  • Replace internal technologies.

  • Reorganize features.

  • Introduce new functionality.

  • Deprecate obsolete functionality.

  • Change technical architecture.

Material contractual commitments will remain subject to applicable legal obligations.

28. Compatibility

The WordPress ecosystem changes continuously.

Stellar may depend on or interact with:

  • WordPress.

  • PHP.

  • Databases.

  • Web servers.

  • Hosting environments.

  • Browser technologies.

  • Plugins.

  • Themes.

  • APIs.

  • Third-party software.

GMS Creativo cannot guarantee perpetual compatibility with every possible version, configuration, or third-party product.

29. Minimum Requirements

GMS Creativo may establish reasonable minimum requirements relating to:

  • WordPress version.

  • PHP version.

  • Database version.

  • Server configuration.

  • Available memory.

  • Disk space.

  • Required PHP extensions.

  • Browser support.

Using unsupported or obsolete environments may reduce functionality or increase risk.

BACKUPS, RESTORES, ROLLBACK, AND SAFE UPDATE

30. Backup Functionality

Stellar may provide tools for creating and managing website backups.

These tools are intended to reduce operational risk but do not replace a professional, independent backup strategy.

No backup system can guarantee that data loss, corruption, server failure, malware, hardware failure, or other incidents will never occur.

31. Independent Backups

Customers are strongly encouraged to maintain independent backup copies, particularly for:

  • Business-critical websites.

  • E-commerce stores.

  • Membership websites.

  • Customer databases.

  • Websites processing financial transactions.

  • Websites containing valuable or irreplaceable data.

Where practical, independent backups should be stored separately from the primary hosting environment.

32. Backup Creation

Backup operations may depend on:

  • Available disk space.

  • Server memory.

  • Execution-time limits.

  • File permissions.

  • Database health.

  • Hosting restrictions.

  • Server load.

  • Website size.

  • File-system condition.

  • Network availability.

A failed backup should not be treated as a valid recovery point.

33. Restore Operations

Restoring a backup may involve:

  • Replacing files.

  • Replacing database content.

  • Removing files created after the backup.

  • Reverting settings.

  • Reverting content.

  • Overwriting subsequent changes.

  • Temporary website downtime.

The user is responsible for selecting the intended site and recovery point.

34. Rollback

Rollback functionality is designed to assist users in returning a site or component to a previous known state after an unsuccessful operation.

Successful rollback may depend on:

  • Availability of a valid recovery point.

  • Backup integrity.

  • Server permissions.

  • Disk capacity.

  • Hosting functionality.

  • Database integrity.

  • Absence of severe external corruption.

Rollback reduces risk but cannot guarantee successful recovery in every technical environment.

35. Safe Update

Safe Update may perform protective actions before, during, or after software updates, such as:

  • Creating a recovery point.

  • Updating software.

  • Checking website availability.

  • Detecting certain technical errors.

  • Initiating rollback if defined failure conditions are detected.

Safe Update is a risk-reduction feature and not a guarantee that an update will never cause an issue.

Some failures may arise from third-party code, environment-specific behavior, delayed errors, external APIs, caching systems, database conditions, or other factors that cannot always be detected automatically.

36. Post-Update Verification

Automated verification cannot reasonably test every function of every website.

Customers remain responsible for testing business-critical functions after significant updates, including where relevant:

  • Checkout.

  • Payments.

  • Forms.

  • Membership access.

  • Bookings.

  • Custom integrations.

  • Customer portals.

THIRD-PARTY SERVICES

37. External Dependencies

Stellar operates within an ecosystem that includes services not controlled by GMS Creativo.

Third parties may change:

  • APIs.

  • Authentication systems.

  • Technical specifications.

  • Software behavior.

  • Availability.

  • Pricing.

  • Security requirements.

  • Usage policies.

Such changes may temporarily or permanently affect particular integrations.

38. Hosting Providers

GMS Creativo does not control customer hosting infrastructure.

Hosting-related problems may include:

  • Downtime.

  • Server limits.

  • Network failures.

  • Database failures.

  • Disk failures.

  • Security incidents.

  • PHP limitations.

  • File-permission restrictions.

  • Resource exhaustion.

Issues originating exclusively from third-party infrastructure are not automatically attributable to Stellar.

39. Plugins and Themes

Stellar may detect, update, back up, or otherwise interact with third-party plugins and themes.

This does not make GMS Creativo the developer, publisher, distributor, or guarantor of those products.

Third-party developers remain responsible for their own software.

SUPPORT

40. Support Services

Paid plans may include technical support.

The scope and availability of support may depend on the plan purchased.

Support generally covers issues reasonably related to Stellar itself.

41. Support Exclusions

Unless specifically included, standard Stellar support does not necessarily include:

  • Custom software development.

  • General WordPress development.

  • Full malware remediation.

  • Complete server administration.

  • Repair of third-party plugins.

  • Repair of third-party themes.

  • Development of custom integrations.

  • Website redesign.

  • Unrelated hosting issues.

GMS Creativo may offer such services separately.

42. Temporary Access

To investigate an issue, customers may voluntarily provide temporary access to a website or hosting environment.

Where possible, users should:

  • Create temporary credentials.

  • Limit privileges.

  • Remove access after support is complete.

Credentials supplied for support should be used only as reasonably necessary for the authorized support purpose.

CUSTOMER RESPONSIBILITIES

43. Authorization

Customers must have appropriate authorization to manage every website they connect to Stellar.

Stellar must not be used to access systems or websites without authorization.

44. Credentials and Security

Customers are responsible for maintaining reasonable security over:

  • Stellar accounts.

  • Passwords.

  • License keys.

  • WordPress credentials.

  • Hosting credentials.

  • Server access.

  • Email accounts associated with their account.

45. Customer Content

Customers retain responsibility for content hosted on websites they manage.

GMS Creativo does not assume responsibility for determining whether customer website content complies with applicable law.

46. Compliance

Customers are responsible for using Stellar in a manner consistent with applicable laws, contractual obligations, and rights of third parties.

SUSPENSION AND ENFORCEMENT

47. Grounds for Suspension

GMS Creativo may reasonably suspend an account, license, activation, or connected service where there are credible indications of:

  • Fraud.

  • Unauthorized payment.

  • Chargeback.

  • License abuse.

  • Unauthorized access.

  • Security threats.

  • Attacks against infrastructure.

  • Deliberate circumvention of plan limits.

  • Material breach of these Terms.

  • Unlawful use.

48. Proportionality

Where practical, measures should be proportionate to the risk or breach involved.

Security suspension is intended to protect customers, GMS Creativo, infrastructure, and legitimate license holders, not to arbitrarily deprive legitimate customers of paid services.

49. Investigation

GMS Creativo may request reasonable information from the customer when investigating:

  • Payment disputes.

  • License irregularities.

  • Suspicious activity.

  • Security events.

  • Abuse.

LIABILITY AND RISK ALLOCATION

50. General Principle

GMS Creativo remains responsible where liability cannot legally be excluded.

Nothing in these Terms is intended to exclude liability that applicable law prohibits parties from excluding.

51. Internet and Third-Party Infrastructure

GMS Creativo cannot guarantee uninterrupted operation of infrastructure beyond its reasonable control, including:

  • Internet connectivity.

  • DNS.

  • Hosting.

  • Servers.

  • Networks.

  • Payment providers.

  • Third-party APIs.

  • WordPress infrastructure.

  • External software repositories.

52. Customer or Third-Party Causes

To the maximum extent permitted by applicable law, GMS Creativo will not be responsible for losses caused exclusively by:

  • Customer misuse.

  • Unauthorized modifications.

  • Failure to follow documentation.

  • Compromised customer credentials.

  • Incompatible third-party software.

  • Customer negligence.

  • Malware introduced independently of Stellar.

  • Third-party products.

  • Hosting-provider failures.

53. Data Loss

Website-management operations inherently involve technical risk.

Customers acknowledge that a backup feature does not eliminate the need for independent backups.

GMS Creativo shall not be responsible, to the extent legally permitted, for losses caused exclusively by circumstances outside its reasonable control or by the absence of independent backups where the relevant failure was not attributable to Stellar.

54. Business Customers

Where the customer acts as a business, professional, agency, organization, or other non-consumer entity, and to the maximum extent permitted by applicable law, GMS Creativo will not be liable for indirect or consequential losses such as:

  • Loss of profit.

  • Loss of expected revenue.

  • Loss of business opportunity.

  • Loss of goodwill.

  • Indirect commercial losses.

This limitation does not apply where such limitation is prohibited by applicable law.

55. Maximum Liability for Business Customers

Where legally permitted and where the customer is acting exclusively in a business or professional capacity, aggregate contractual liability arising directly from the affected paid Stellar service may be limited to the amounts actually paid by the customer for that service during the applicable subscription period giving rise to the claim.

This limitation does not apply where applicable law prohibits such limitation.

56. Consumer Rights

Nothing in Sections 50 through 55 restricts mandatory rights available to customers who qualify for non-waivable consumer protections.

SERVICE AVAILABILITY

57. Availability

GMS Creativo will use reasonable efforts to operate the infrastructure required for Stellar.

Continuous and uninterrupted availability cannot be guaranteed.

58. Maintenance

Services may temporarily be unavailable because of:

  • Scheduled maintenance.

  • Emergency maintenance.

  • Security updates.

  • Infrastructure upgrades.

  • Technical incidents.

59. Force Majeure and Events Beyond Reasonable Control

GMS Creativo will not be responsible to the extent permitted by law for delays or inability to perform obligations caused by events outside its reasonable control.

These may include:

  • Natural disasters.

  • Major infrastructure failures.

  • War or civil disturbance.

  • Government restrictions.

  • Telecommunications outages.

  • Widespread Internet failures.

  • Major cyberattacks.

  • Third-party service outages.

  • Labor disruptions.

  • Other comparable events.

CHANGES AND TERMINATION

60. Changes to Stellar

GMS Creativo may update Stellar as described in these Terms.

Changes will not be used to unlawfully deprive customers of rights already acquired under a paid contractual period.

61. Changes to These Terms

These Terms may be updated to reflect:

  • Legal requirements.

  • Product changes.

  • Security requirements.

  • New services.

  • Infrastructure changes.

  • Business changes.

The latest version will display its revision date.

Material changes affecting an existing contractual relationship will be handled in accordance with applicable law.

62. Termination by Customer

Customers may stop using Stellar at any time.

Stopping use of the software does not automatically create a right to a refund for a period already purchased unless required by applicable law or an applicable refund policy.

63. Termination for Material Breach

GMS Creativo may terminate or suspend contractual rights where a customer materially violates these Terms or the License Agreement, subject to applicable legal requirements.

GENERAL LEGAL TERMS

64. Applicable Law

These Terms will be interpreted and enforced in accordance with the law applicable to the relevant relationship and circumstances.

Nothing in these Terms is intended to deprive any person of mandatory rights that cannot legally be waived by contract.

65. Disputes

The parties are encouraged to first attempt to resolve disputes directly and in good faith.

Where a dispute cannot be resolved amicably, it may be submitted to the courts, arbitration mechanisms, consumer dispute mechanisms, or other forums having competent jurisdiction under applicable law.

66. Severability

If any provision of these Terms is found invalid, unenforceable, or unlawful, that provision shall be interpreted or limited to the minimum extent necessary.

The remaining provisions shall continue in effect to the extent legally permitted.

67. No Waiver

Failure to immediately enforce a right or provision does not automatically constitute a permanent waiver of that right.

68. Assignment

GMS Creativo may assign or transfer contractual rights or obligations as part of a legitimate business reorganization, merger, acquisition, transfer of business, or similar transaction, subject to applicable law.

Customers may not transfer a license except where permitted by the applicable License Agreement or by GMS Creativo.

69. Entire Agreement

The contractual framework for Stellar may include:

  • These Terms and Conditions.

  • The Privacy Policy.

  • The Stellar Plugin Manager License Agreement.

  • The plan description.

  • Specific terms displayed during checkout.

  • Any additional terms expressly agreed by the parties.

Where a specific contractual term expressly accepted during checkout conflicts with a general term, the specific term will govern to the extent legally permitted.
