STELLAR PLUGIN MANAGER LICENSE AGREEMENT

Last Updated: August 31, 2026

1. Introduction

This License Agreement governs the installation, activation, access, and use of Stellar Plugin Manager, a product developed and provided by GMS Creativo.

Licensor: GMS Creativo
Product: Stellar Plugin Manager
Email: support@stellar.gmscreativo.com
Website: stellar.gmscreativo.com

The person or entity installing, activating, accessing, purchasing, or using Stellar is referred to as the “Licensee,” “Customer,” or “User.”

2. Acceptance of This Agreement

By installing, activating, accessing, or using Stellar, the Licensee agrees to the provisions of this License Agreement that apply to the relevant product or service.

Purchase of a Stellar license is also subject to the applicable GMS Creativo Terms and Conditions.

If the Licensee does not agree with this License Agreement, the Licensee should not activate or use paid Stellar functionality.

3. License, Not Sale

Stellar is licensed, not sold.

Payment for Stellar does not transfer ownership of Stellar, its proprietary technology, branding, licensing systems, service infrastructure, or intellectual property.

Subject to compliance with this Agreement, GMS Creativo grants the Licensee a:

  • Limited.

  • Non-exclusive.

  • Non-transferable except where expressly permitted.

  • Revocable upon material breach.

  • Plan-specific.

right to use Stellar for the number of sites and within the functionality allowed by the purchased plan.

4. Ownership

GMS Creativo retains all rights, title, and interest in proprietary elements of Stellar.

This may include rights relating to:

  • Branding.

  • User-interface design.

  • Proprietary services.

  • Licensing infrastructure.

  • Documentation.

  • Commercial assets.

  • Proprietary components.

  • Graphics.

  • Software architecture.

  • Update infrastructure.

Nothing in this Agreement transfers ownership of those rights to the Licensee.

5. Open-Source and Third-Party Components

Stellar may contain, rely on, interact with, or distribute components governed by open-source or third-party licenses.

Those components remain subject to their respective license terms.

Nothing in this Agreement is intended to restrict rights granted directly to a user under an applicable open-source license.

Where a third-party or open-source license grants rights that cannot legally be restricted by this Agreement, that license controls with respect to the relevant component.

6. License Plans

Stellar may be made available under multiple license tiers.

Each license may define limits including:

  • Number of websites.

  • Number of simultaneous activations.

  • Repository limits.

  • Backup functionality.

  • Premium functionality.

  • Support entitlement.

  • Update entitlement.

  • Connected services.

  • Other resources.

The applicable plan description forms part of the license.

7. Website Limits

A license may only be actively used on the number of websites permitted by the relevant plan.

A Licensee must not knowingly circumvent website limits by:

  • Manipulating domain information.

  • Duplicating identifiers.

  • Altering validation requests.

  • Sharing keys beyond the licensed organization.

  • Using technical methods intended to avoid counting active installations.

8. License Activation

Stellar may require activation before paid functionality becomes available.

Activation may involve communication with GMS Creativo licensing infrastructure to verify:

  • License key.

  • License status.

  • Plan.

  • Domain.

  • Number of installations.

  • Expiration.

  • Subscription status.

  • Product version.

9. Periodic License Validation

Paid functionality may require periodic revalidation.

Validation may occur automatically.

The purpose of validation is to:

  • Confirm continued entitlement.

  • Enforce plan limits.

  • Provide updates.

  • Provide premium services.

  • Detect unauthorized use.

  • Protect legitimate license holders.

10. License Keys

License keys are confidential commercial credentials.

Customers must take reasonable steps to prevent unauthorized use or publication of their license keys.

A Licensee must not:

  • Publish a paid license key publicly.

  • Sell an individual activation separately without authorization.

  • Share a key with unrelated third parties.

  • Make a key available through public repositories.

  • Intentionally allow unlimited unauthorized installations.

11. Compromised License Keys

If a key is reasonably believed to have been:

  • Stolen.

  • Publicly leaked.

  • Resold without authorization.

  • Used fraudulently.

  • Used substantially beyond the applicable limit.

GMS Creativo may invalidate or replace the key.

Where possible and appropriate, legitimate customers may be issued a replacement key.

12. Deactivation

Where the functionality is provided, the Licensee may deactivate a website to free an activation for another authorized site.

Deactivation does not increase the total number of simultaneous active sites allowed by the plan.

13. Domain Changes

Customers may transfer an activation between domains where the licensing system permits it.

Reasonable anti-abuse controls may be applied to repeated or suspicious domain changes.

14. Staging and Development Environments

GMS Creativo may choose to exclude qualifying staging, development, or local environments from plan limits.

Whether an installation qualifies may depend on technical criteria defined by Stellar.

This exception must not be intentionally manipulated to operate additional production websites beyond the licensed limit.

15. Agency Use

Where the plan permits agency or professional use, the Licensee may use Stellar to manage websites belonging to legitimate clients.

Unless otherwise agreed:

  • The Stellar license remains associated with the Licensee.

  • The customer of the Licensee does not automatically acquire ownership of the Stellar license.

  • The Licensee remains responsible for complying with the plan limits.

16. Client Website Authorization

The Licensee represents that it has appropriate authority to connect, update, back up, restore, modify, or otherwise manage every website added to Stellar.

Stellar must not be used to access or manage websites without authorization.

17. Permitted Use

Subject to the applicable plan, the Licensee may:

  • Install Stellar.

  • Activate Stellar.

  • Use the available management functionality.

  • Connect authorized websites.

  • Perform updates.

  • Create backups.

  • Perform restores.

  • Use rollback.

  • Use Safe Update.

  • Access eligible repositories.

  • Receive applicable software updates.

  • Obtain support where included.

18. Prohibited Use

To the extent permitted by applicable law, the Licensee must not:

  • Circumvent licensing restrictions.

  • Circumvent site limits.

  • Use stolen licenses.

  • Resell individual activations without authorization.

  • Operate a public license-sharing service.

  • Provide unauthorized access to paid services.

  • Attack or interfere with GMS Creativo systems.

  • Use Stellar for unauthorized access.

  • Use automated techniques intended to defeat licensing controls.

  • Fraudulently represent a free plan as a paid plan.

  • Use licensing infrastructure in a manner that materially disrupts services for other customers.

19. Reverse Engineering

Nothing in this Agreement prohibits an activity where applicable law expressly provides that such activity cannot legally be restricted.

Subject to those mandatory rights, the Licensee may not reverse engineer, bypass, tamper with, or defeat proprietary licensing, authentication, or protected service infrastructure for the purpose of obtaining unauthorized access to paid functionality.

20. Modifications

Modifying Stellar may:

  • Affect compatibility.

  • Cause errors.

  • Disable updates.

  • Interfere with licensing.

  • Compromise security.

  • Prevent support.

GMS Creativo is not obligated to support modified versions where the modification is reasonably related to the problem being reported.

This provision does not restrict rights that cannot legally be restricted under applicable open-source licenses.

21. Redistribution

Any redistribution rights applying to specific software components are governed by the applicable licenses for those components.

This License Agreement does not grant permission to:

  • Misrepresent GMS Creativo branding.

  • Impersonate Stellar.

  • Resell access to proprietary hosted services without authorization.

  • Use GMS Creativo trademarks in a misleading manner.

  • Misrepresent an unofficial modified product as an official GMS Creativo release.

22. White-Labeling

Unless expressly included in the relevant plan or separately authorized, this Agreement does not grant a general right to represent Stellar as software developed by another party.

23. Trademarks

The Stellar Plugin Manager name, GMS Creativo name, logos, and related commercial identity may be protected by applicable trademark, unfair-competition, or intellectual-property rights.

A software license does not grant ownership of such trademarks.

LICENSE DURATION

24. License Term

The term of a paid license is the period specified when purchased.

A subscription license remains in good standing while:

  • The applicable term remains active.

  • Required payments have been successfully made.

  • The Licensee complies with this Agreement.

25. Expiration

Upon expiration, the Licensee may lose access to services requiring an active license, which may include:

  • Premium updates.

  • Connected premium services.

  • Support.

  • Premium downloads.

  • License-dependent functions.

The precise effect depends on product architecture and plan.

26. Renewal

An eligible license may be renewed for another term.

Renewal may occur automatically where the customer has enabled or accepted recurring billing.

27. Non-Renewal

A customer may choose not to renew.

Non-renewal generally prevents future billing and allows the license term to expire at the end of the paid period.

UPDATES

28. Update Entitlement

An active eligible license may entitle the Licensee to updates during the relevant period.

Update entitlement does not necessarily guarantee continued support for obsolete server environments or third-party products.

29. Update Changes

Updates may:

  • Add functionality.

  • Modify functionality.

  • Improve security.

  • Fix defects.

  • Improve compatibility.

  • Replace obsolete technologies.

  • Modify interfaces.

  • Change technical requirements.

30. Security Updates

Licensees are encouraged to install security-related updates within a reasonable period.

Continuing to use significantly outdated software may increase security and compatibility risks.

BACKUP AND RECOVERY FEATURES

31. Backup License Rights

Where included in the plan, Stellar may create, manage, download, delete, or restore backup copies of authorized websites.

Customers retain ownership of the content contained within their websites and backups.

32. No Guarantee of Absolute Backup Reliability

Backup systems depend on technical conditions beyond the software itself.

GMS Creativo does not represent that every backup will necessarily succeed in every hosting environment.

Potential causes of failure include:

  • Insufficient storage.

  • Database corruption.

  • Server termination.

  • File-system errors.

  • Permission restrictions.

  • Hosting limitations.

  • Malware.

  • Network interruption.

  • Resource exhaustion.

33. Customer Backup Responsibility

The Licensee remains responsible for maintaining a backup strategy appropriate to the value and importance of its data.

Business-critical websites should not rely exclusively on a single backup location or mechanism.

34. Restore Operations

The Licensee acknowledges that restoration is inherently destructive to changes made after the selected recovery point.

A restore may:

  • Replace database records.

  • Replace files.

  • Remove later files.

  • Revert configuration.

  • Remove later content.

  • Temporarily interrupt website operation.

35. Recovery Point Selection

The Licensee is responsible for selecting the intended recovery point.

GMS Creativo is not responsible for a user’s accidental selection of the wrong backup or recovery date where the software accurately performed the operation selected by the user.

36. Rollback

Rollback is intended to restore a previous state following specified operations.

Rollback success depends on the continued availability and integrity of the relevant recovery data and technical environment.

SAFE UPDATE

37. Nature of Safe Update

Safe Update is designed to reduce the risk associated with software updates.

Depending on implementation, it may:

  • Create a recovery point.

  • Execute an update.

  • Perform technical checks.

  • Detect specified failures.

  • Initiate rollback.

38. No Absolute Guarantee

Safe Update does not guarantee that:

  • Every possible error will be detected.

  • Every third-party incompatibility will be detected.

  • Every website function will be tested.

  • Every rollback will always succeed.

  • No downtime will ever occur.

Websites can contain custom code, external APIs, asynchronous processes, caches, payment systems, integrations, or business logic that cannot be comprehensively validated through automated checks alone.

39. Critical Websites

For critical production environments, the Licensee should independently verify significant updates and maintain an external recovery mechanism.

SUPPORT

40. Support Entitlement

Technical support is provided only where included in the active plan.

Support entitlement may terminate when a license expires.

41. Scope of Support

Stellar support primarily covers:

  • Installation issues.

  • Activation issues.

  • Licensing problems.

  • Stellar functionality.

  • Stellar-generated errors.

  • Reasonable troubleshooting related to Stellar.

42. Third-Party Issues

Support does not make GMS Creativo responsible for fixing software developed by unrelated third parties.

Where appropriate, support may help identify whether an issue originates from Stellar or another component.

LICENSE ENFORCEMENT

43. Suspension

A license may be temporarily suspended where GMS Creativo reasonably identifies:

  • Payment reversal.

  • Fraud.

  • Stolen payment credentials.

  • License abuse.

  • Public key leakage.

  • Serious security risk.

  • Deliberate circumvention of limits.

  • Material breach of this Agreement.

44. Revocation

A license may be revoked for material or repeated violations of this Agreement where revocation is lawful and proportionate.

Where appropriate, the Licensee may be given an opportunity to cure the violation.

45. Fraudulent Licenses

Licenses obtained through:

  • Fraud.

  • Stolen payment methods.

  • Unauthorized resellers.

  • Forged keys.

  • Fraudulent chargebacks.

may be cancelled or disabled.

46. Effect on Customer Websites

Suspension or termination of a license does not grant GMS Creativo ownership of, or general permission to delete, a customer’s website content.

License enforcement should primarily affect Stellar licensing rights and associated services.

THIRD-PARTY SOFTWARE

47. WordPress

Stellar is designed to work with WordPress.

WordPress is an independent third-party software project.

GMS Creativo does not control WordPress development or guarantee that every future WordPress change will remain automatically compatible with every Stellar version.

48. Plugins and Themes

Third-party plugins and themes are controlled by their respective developers.

Stellar’s ability to manage or update them does not constitute a warranty of their:

  • Quality.

  • Security.

  • Compatibility.

  • Availability.

  • Functionality.

49. Third-Party APIs and Repositories

Stellar may connect to external APIs, repositories, or services.

Their owners may change or discontinue them without GMS Creativo’s control.

GMS Creativo may adapt or discontinue an integration if continued operation becomes technically, legally, commercially, or operationally impracticable.

DISCLAIMER AND LIABILITY

50. Software Environment

Website-management software operates in complex environments involving third-party code and infrastructure.

GMS Creativo cannot guarantee that Stellar will operate without interruption or error under every configuration.

51. Mandatory Rights

Nothing in this Agreement excludes any warranty, remedy, or liability that applicable law does not permit the parties to exclude.

52. External Failures

To the extent permitted by applicable law, GMS Creativo is not liable for problems caused exclusively by:

  • Hosting providers.

  • Server failures.

  • Internet failures.

  • Third-party software.

  • Customer modifications.

  • Malware unrelated to Stellar.

  • Customer misuse.

  • Customer credentials being compromised.

  • External services.

  • Unsupported configurations.

53. Indirect Business Losses

For Licensees acting exclusively in a business or professional capacity, and where legally permitted, GMS Creativo shall not be liable for indirect, incidental, special, or consequential business losses, including:

  • Lost profits.

  • Lost business opportunities.

  • Lost anticipated revenue.

  • Loss of goodwill.

54. Liability Cap for Business Licensees

Where permitted by applicable law, GMS Creativo’s aggregate contractual liability to a business Licensee arising directly from a paid Stellar service may be limited to the amount actually paid for the relevant Stellar subscription during the applicable period giving rise to the claim.

This limitation does not apply where prohibited by law.

TERMINATION

55. Termination by Licensee

The Licensee may cease using Stellar at any time.

Stopping use does not automatically generate a refund right outside any applicable mandatory rights or refund policy.

56. Termination by GMS Creativo

GMS Creativo may terminate licensing rights following a material breach of this Agreement, subject to applicable legal requirements.

57. Effects of Termination

Upon termination of licensing rights, access to:

  • Paid services.

  • Premium updates.

  • Support.

  • License-dependent services.

may cease.

Provisions that by their nature should survive termination may continue, including provisions concerning:

  • Intellectual property.

  • Confidentiality where applicable.

  • Liability.

  • Accrued payment obligations.

  • Dispute resolution.

GENERAL TERMS

58. Changes to This License Agreement

GMS Creativo may update this Agreement in response to:

  • Product development.

  • Security requirements.

  • Legal requirements.

  • New services.

  • Changes in licensing architecture.

Material changes affecting existing paid rights will be handled in accordance with applicable law.

59. Applicable Law

This Agreement shall be interpreted according to the law applicable to the relevant contractual relationship.

Nothing in this Agreement is intended to remove mandatory rights that cannot lawfully be waived.

60. Disputes

The parties are encouraged to attempt good-faith resolution of disputes before initiating formal proceedings.

Any unresolved dispute may be submitted to a court, tribunal, arbitration mechanism, or other forum having competent jurisdiction under applicable law.

61. Severability

If any provision is held invalid or unenforceable, it shall be interpreted or restricted to the minimum extent necessary.

The remaining provisions shall remain effective to the extent permitted by law.

62. No Waiver

Failure to enforce a provision immediately does not automatically constitute a waiver of the right to enforce it later.

63. Entire License Agreement

This License Agreement, together with:

  • GMS Creativo Terms and Conditions.

  • The applicable plan description.

  • Specific terms agreed during purchase.

forms the licensing framework for Stellar Plugin Manager.
